Terms & Conditions

Please read these Terms & Conditions carefully before engaging Arcveil's services. By submitting an enquiry form, entering into a service agreement, or otherwise engaging our services, you agree to be bound by these terms.

By engaging Arcveil's services — whether by submitting a contact form, signing a service agreement, or making a payment — you confirm that you have the authority to enter into this Agreement on behalf of your organisation, are at least 18 years of age, and agree to be bound by these terms.

3. Service Description

Arcveil provides AI consulting and intelligence services as described on our website and in individual service agreements. The specific scope, deliverables, and timeline for each engagement are defined in a written scope agreement provided before work commences. Services are available to clients in Hong Kong and, subject to separate agreement, in other jurisdictions.

4. Engagement Process

All engagements begin with a written scope agreement defining deliverables, timelines, fees, and acceptance criteria. Work commences only after the scope agreement is signed and any required deposit is received. Changes to scope require written agreement from both parties before implementation.

6. Intellectual Property

Upon full payment of fees, Arcveil grants the Client a non-exclusive, non-transferable licence to use Deliverables for internal business purposes. Arcveil retains ownership of its underlying methodologies, frameworks, and pre-existing intellectual property. Arcveil does not claim ownership of any Client data or proprietary information provided during an engagement.

7. Payment Terms

Fees are as stated in the applicable scope agreement and are denominated in Hong Kong Dollars (HKD). Unless otherwise agreed:

Refunds are available at our discretion where Arcveil fails to deliver agreed Deliverables. Fees are non-refundable where work has been completed in accordance with the agreed scope.

8. Service-Specific Terms

Generative AI Consulting: The consulting playbook reflects our assessment as at the date of delivery. AI tools and capabilities evolve rapidly; assessments may become outdated over time. We recommend reviewing recommendations after six months.

AI-Powered Email Triage: The thirty-day tuning period begins on the date of system go-live. Configuration changes requested after the tuning period may be subject to additional fees. The Client is responsible for maintaining compatible email infrastructure.

AI Landscape Briefings: Briefings are based on publicly available information and our consultants' analysis. They do not constitute legal, financial, or regulatory advice.

9. Confidentiality

Both parties agree to maintain the confidentiality of non-public information shared during an engagement. This obligation survives termination of the Agreement for a period of three years. Standard non-disclosure agreements are available upon request.

10. Disclaimers

Arcveil's services are provided on the basis of professional judgement and publicly available information. We do not represent that AI tools will perform identically in all environments, that recommendations will produce specific results, or that the information in Landscape Briefings is exhaustive. Services are provided "as is" to the extent permitted by applicable law.

11. Limitation of Liability

To the fullest extent permitted by Hong Kong law, Arcveil's aggregate liability to the Client for any claim arising from an engagement shall not exceed the total fees paid for that specific engagement. We shall not be liable for indirect, consequential, or special damages.

12. Indemnification

You agree to indemnify and hold harmless Arcveil from any claims, damages, or expenses arising from your misuse of Deliverables, breach of these Terms, or violation of applicable laws.

13. Termination

Either party may terminate an engagement with 14 days' written notice. Upon termination, fees for work completed to date are payable. Arcveil may terminate immediately for material breach, non-payment, or conduct that creates legal or reputational risk.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Hong Kong Special Administrative Region. Any disputes shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in accordance with its rules. The seat of arbitration shall be Hong Kong.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email to active clients and by posting the updated Terms on our website with a revised effective date.
